If you're starting to sell on Kaspi.kz on your own, open an IP (individual entrepreneur). It's registered in the Kaspi.kz app, the decision arrives within an hour, it connects to Kaspi Pay without paperwork, and whatever is left in the account after tax you can transfer to yourself without fuss. An LLP (TOO in Kazakhstan) is worth considering in three cases: the business will have a partner with a share, you take goods on long deferred payment and don't want to answer for debts with your own property, or your margin is thin and profit tax on the general regime costs less than tax on revenue. For the Kaspi.kz Magazin (the marketplace) itself there's no difference; the connection rules are the same.
In short
- The Magazin doesn't care whether you're an IP or an LLP. Either way, you first need 20 days of sales through Kaspi Pay over the last two months.
- Both can use the simplified declaration regime. The rate is 4% of income, the maslikhat (local council) can move it 50% up or down, and the limit is 600,000 MCI (monthly calculation index) per year.
- Money doesn't come out of an LLP that easily: only as salary or dividends, and dividends carry 5% personal income tax (up to 230,000 MCI a year).
- You can't run an IP on the simplified regime and your own LLP on the simplified regime at the same time; Article 723 of the Tax Code prohibits it directly.
- An LLP participant risks only their contribution; an IP puts personal property on the line.
The main difference in one table
| Question | IP | LLP |
|---|---|---|
| What it is | You yourself, as an entrepreneur | A separate legal entity |
| Liability for debts | Personal property | The LLP's property; participants risk their contribution |
| Registration | Online in Kaspi.kz, decision within 1 hour | Through egov or a Public Service Center (TsON), with a charter and shares |
| Connecting to Kaspi Pay | No documents, signed with a Kaspi digital signature | Online, if the head connects personally and the founders are resident individuals aged 18+ |
| Simplified regime | 4% personal income tax on income | 4% corporate income tax on income |
| General regime | Personal income tax 10% on profit up to 230,000 MCI, 15% above | Corporate income tax 20% on profit |
| How to take money for yourself | Money in the IP account is already yours | Dividends with 5% personal income tax, or salary with contributions and income tax |
| Social payments for the owner | Mandatory every month | Only if the owner draws a salary |
| Several owners | No | Yes, by shares |

Liability: what the owner risks
IP
Legally, an IP is you, just with entrepreneur status. Such a business has no separate property of its own. If you don't settle with a supplier, a bank or the tax office, they'll recover the debt from your personal property. While you trade with your own money and without big deferrals, you can ignore this. When a batch worth tens of millions arrives on credit, it's time to think about it.
LLP
With an LLP the logic is the reverse. Under the law on partnerships, participants are not liable for the partnership's debts and lose at most what they put in, while the LLP itself is liable with all its property (Art. 2 of the LLP Law). That's why LLPs are chosen by people who ship goods by the container, take deferred payment from a distributor or start a business with a partner.
There's also an exotic restriction in the Civil Code: the sole participant of an LLP can't be another partnership that also has a single participant (Civil Code, Art. 77, clause 2). This doesn't affect a typical seller, but "an LLP owning an LLP" structures have to be built differently.
Registration and connecting to Kaspi
An IP in an hour
An IP is registered right in the Kaspi.kz app: Госуслуги → Регистрация ИП (Public services → IP registration). The decision comes within 1 hour, and the confirmation is the «Уведомление о начале деятельности в качестве ИП» (notice of starting activity as an IP) (q1384, updated Aug 28, 2026). If the IP was opened elsewhere, wait 1 working day for the data to appear in the state database (q2612, updated Sep 22, 2023).
No documents are needed for Kaspi Pay. With a Kaspi digital signature, the IP signs the account-opening application, a questionnaire, the Kaspi Pay connection application and the application to the contract with the Kaspi.kz Magazin (q1382, updated Aug 28, 2026).
LLP: the head only
Only the head connects an LLP to Kaspi Pay, online from 7:00 to 23:00 (q1608, updated Aug 28, 2026). Online connection works if the head connects personally, all founders are individuals aged 18 or older, and both the organization and the head are residents of Kazakhstan (q1736, updated Aug 7, 2026). If another company is among the founders, the online route won't work.
When the LLP's details change, such as the head or the address, they're changed first through egov or a TsON, then in Kaspi Pay: Профиль компании → «Обновить данные организации» (Company profile → Update organization details) (q2657, updated Dec 3, 2025).
Kaspi.kz Magazin: the same rules
For the Magazin, the legal form doesn't matter. You need to be a Kaspi Pay partner and sell with Kaspi Pay for at least 20 days within the last 2 months, and only the head connects (q1351, updated Dec 18, 2025). The full path to the first sale is described in how to start selling on Kaspi.
Taxes: simplified and general regimes
Simplified regime for both
The special regime based on the simplified declaration can be used by both IPs and resident legal entities if annual income doesn't exceed 600,000 MCI (Art. 723 of the Tax Code). With the 2026 MCI at 4,325 ₸, that's 2,595,000,000 ₸. The base rate is 4% of income, and the maslikhat can raise or lower it by 50% (Art. 726). The tax period is a half-year, and payers on this regime don't pay social tax or VAT, except import VAT (Art. 722).
The difference is which tax is calculated: for an IP it's personal income tax, for an LLP corporate income tax. The rate is the same. An LLP on the simplified regime doesn't file a corporate income tax return (Art. 359).
The Article 723 trap: one person's IP and LLP
Clause 2 of Article 723 lists who may not use the simplified regime. For sellers who want "an IP plus an LLP", three sub-clauses matter:
- a legal entity whose founder or participant applies a special tax regime themselves;
- a legal entity whose founder is at the same time a participant in another legal entity on a special regime;
- individuals and IPs who are participants in a legal entity on a special regime.
Put simply, if you have an IP on the simplified regime, your new LLP won't be able to switch to it. And if the LLP is already on the simplified regime, your IP can't use it. One more condition: in an LLP on the simplified regime, the share held by other legal entities can't exceed 25%.
General regime
On the general regime, an LLP pays corporate income tax of 20% on taxable profit (Art. 357) and files its return by March 31. An IP on the general regime pays 10% personal income tax on income minus expenses within 230,000 MCI a year and 15% above that (Art. 363). On the general regime, expenses must be backed by documents, including Kaspi's certificates; see our article Kaspi closing documents.
VAT
The VAT registration threshold in 2026 is 10,000 MCI, or 43,250,000 ₸ of turnover. If turnover exceeds it, you must register within 10 working days after the end of the month; the fine for breaking this rule is 50 MCI (q3238, updated Mar 26, 2024). The VAT rate since 2026 is 16%. How this works for an IP on the simplified regime is covered in taxes for IPs on Kaspi in 2026.
How to take money out of the business
With an IP
Once tax is paid, the money in the IP account belongs to you. There's no separate tax on transferring it to your own card. In return, every month by the 25th the IP pays contributions for themselves: mandatory pension contributions (OPV), employer pension contributions (OPVR), social contributions (SO) and compulsory health insurance (VOSMS); calculated from one minimum wage, that's 21,675 ₸ a month (q4097, updated Aug 4, 2025; the calculation is in the article on IP taxes).
With an LLP
An LLP's money is the company's money. The owner receives it in two legal ways: a director's salary, from which income tax is withheld and contributions are paid, or dividends. Dividends are taxed at 5% personal income tax within 230,000 MCI a year and 15% on the excess (Art. 363 of the Tax Code). The 30,000 MCI dividend exemption was removed in the new code (State Revenue Department for East Kazakhstan). Moving LLP money to a personal card without paperwork isn't "taking money out"; it's a violation that will surface in an audit.
The math: how much the owner keeps
Hypothetical example, not a client case. A Kaspi store with revenue of 30,000,000 ₸ a year, below the VAT threshold. The simplified regime rate is the base 4%. In the LLP we pay no director's salary and distribute all profit as dividends. We ignore the LLP's accounting and other expenses.
| Item | IP, simplified | LLP, simplified | LLP, general |
|---|---|---|---|
| Profit 6,000,000 ₸ (20% margin) | |||
| Business tax | 1,200,000 ₸ | 1,200,000 ₸ | 1,200,000 ₸ |
| IP's own contributions, 12 months | 260,100 ₸ | — | — |
| 5% income tax on dividends | — | 240,000 ₸ | 240,000 ₸ |
| Owner's take-home | 4,539,900 ₸ | 4,560,000 ₸ | 4,560,000 ₸ |
| Profit 3,000,000 ₸ (10% margin) | |||
| Business tax | 1,200,000 ₸ | 1,200,000 ₸ | 600,000 ₸ |
| IP's own contributions, 12 months | 260,100 ₸ | — | — |
| 5% income tax on dividends | — | 90,000 ₸ | 120,000 ₸ |
| Owner's take-home | 1,539,900 ₸ | 1,710,000 ₸ | 2,280,000 ₸ |
Formulas. Simplified regime: tax = revenue × 4%. General regime for an LLP: corporate income tax = profit × 20%. Dividends = profit − tax; income tax = dividends × 5%.
What it shows. At a 20% margin there's almost no difference, and the IP wins on simplicity. At a 10% margin, the simplified tax on revenue takes 40% of profit, and an LLP on the general regime leaves the owner 740,100 ₸ more than an IP. But the LLP will have accounting costs, and without a director's salary the owner builds no pension. If you're in Astana or Almaty, the simplified rate is 3%, and the break-even shifts in favor of the simplified regime. So first calculate your real margin using how not to sell at a loss on Kaspi, then choose the form.
When to choose which
An IP fits if you're starting alone, the margin is normal, and there are no loans or large deferrals. It works for most stores at the start. It doesn't work if you plan a partner with a share. Risk: your personal property is liable for debts.
An LLP fits if the business has several owners, you take goods on deferral for large sums, or your margin is thin and paying tax on profit is cheaper. It doesn't work if you're not ready to keep full accounting records. Risk: mistakes when taking money out, and extra costs.
Changing an IP's regime can be done right in Kaspi Pay: «Налоги» → «Изменение реквизитов и налогового режима ИП» (Taxes → Change of IP details and tax regime), free of charge; in 2026 the new regime takes effect on the first day of the following month (q4738, updated Feb 26, 2026; q4745). You can't move from an IP to an LLP within one store: it's a different entity with a different BIN (business ID number), and it has to connect from scratch.
Common mistakes when choosing between an IP and an LLP
- Opening an LLP "to look serious". Buyers on Kaspi can't see whether you're an IP or an LLP, and LLP accounting is more complex.
- Keeping an IP and an LLP on the simplified regime at the same time. Article 723 doesn't allow it, and the extra tax assessment will come retroactively.
- Transferring LLP money to your own card. That's not a dividend; it's a violation.
- Comparing the 4% and 20% rates directly. The first is on revenue, the second on profit.
- Forgetting the VAT threshold. The 43,250,000 ₸ turnover limit in 2026 is the same for IPs and LLPs.
- Assuming an LLP connects like an IP. Online connection of an LLP only works with individual founders and the head in person.
- Registering an LLP when the store is already established as an IP. The new entity starts from zero in the Magazin.
Checklist: choosing the form for a Kaspi store
- Margin after commission, delivery and purchase cost has been calculated.
- The simplified regime rate in your city has been checked.
- The three options have been compared by formula: IP simplified, LLP simplified, LLP general.
- It's clear whether the business will have a partner with a share.
- The size of supplier deferrals and loans has been estimated.
- You've checked that you don't already have an IP or LLP on a special regime.
- For an LLP: the founders are resident individuals, if you want to connect online.
- It's decided who will keep the LLP's books and what it costs.
- It's planned how the owner will receive money: dividends or salary.
- The turnover forecast has been checked against the 43,250,000 ₸ VAT threshold.
How to automate pricing whatever your business form
IP or LLP is a decision made once every few years, but the price in the product card has to be reviewed every day. The SaleScout Kaspi bot checks prices every 20 seconds, keeps you at the top of the product card (the single shared listing where all sellers of an item compete) and never drops below the minimum price you set. When a competitor raises their price or leaves the card, the bot raises your price to just below the next seller. It's convenient to set the minimum price with your regime's tax already included. You can try the bot free for 7 days, no card required.
Frequently asked questions about IPs and LLPs for Kaspi
Which is better for Kaspi: an IP or an LLP?
For starting alone, usually an IP: registration in an hour and connection without documents. An LLP is better with partners, large deferrals or a thin margin on the general regime.
Can an LLP sell on Kaspi?
Yes, the Kaspi.kz Magazin terms are the same. The head connects the LLP, and online connection is available if the founders are individuals aged 18+ and residents.
Can an LLP work on the simplified regime?
Yes, if income doesn't exceed 600,000 MCI a year and the Article 723 restrictions don't apply. For example, the share of other legal entities in the LLP must not exceed 25%.
Can I have an IP and an LLP on the simplified regime at the same time?
No. If you're a participant in an LLP on a special regime, your IP may not use the simplified regime, and neither may an LLP whose participant is on it.
How do I take money out of an LLP?
Through dividends with 5% personal income tax within 230,000 MCI a year, or through a director's salary. A simple transfer to a personal card is a violation.
Can a store be moved from an IP to an LLP?
Not as one store. An LLP is a different entity; it has to become a Kaspi Pay partner and build up 20 days of sales over 2 months before connecting to the Magazin.
What tax does an LLP on the general regime pay?
Corporate income tax, 20% of taxable profit, with the return filed by March 31. Profit is counted after expenses, and Kaspi's commission is accepted as an expense only with certificates. So on the general regime you should download Kaspi's closing documents every month, not in March for the whole year.
